A 360 Degree Approach towards International Corporate Governance. A multidisciplinary course including both theory and practice.This course will cover the subject (International) Corporate Governance from different perspectives.
This multidisciplinary approach includes aspects of economics, finance, law and regulations and ethics. The course will be divided approximately 50:50 in lectures and case studies. We will cover the theoretical and historical part of Corporate Governance to obtain a deep understanding on why this topic has become so important. Furthermore several practical real life (international) case studies will force the students to think and act as responsible board members.
The course includes sessions on the role of capital markets, shareholders, but also other stakeholders and will also include lectures on ethics, in control statements and mergers and acquisitions, all from the perspective of the board and its stakeholders.During the course each morning session will be dedicated to a lecture of one of our highly experienced faculty members.
Each afternoon session will consist of the preparation, presentation and discussion of a case study. Most case studies are well known international companies, with some governance issues. The preparation and discussions of the case studies require an active participation of the students (and sufficient English).
The morning sessions include lectures on:
- the history of Corporate Governance,
- Board Effectiveness,
- the role of Governance Codes and corporate law
- the role of the Non-executive directors,
- the influence of capital markets and shareholders,
- the annual meeting of shareholders,
- the influence of private equity firms,
- integrity and ethical decisions,
- the value of the internal control statement and the role of the accountant,
- beyond control. The case studies in the afternoon are chosen to cover these subjects as well.

Target group
Master students with a bachelor in various disciplines and interested in aspects of Corporate Governance. No specific pre-knowledge necessary.
Course aim
The aim of the course is to obtain a broad understanding of corporate governance and its underlying assumptions and purpose but to also have a view on the effectiveness of the functioning and role of the board in real life cases.
